Terms of Service

INTRODUCTION

Woosah App,  LLC ("Woosah," "we," "us," or "our") operates the Woosah mobile application and the website located at woosah.app (collectively, the "Service").  We founded Woosah with a deep commitment to the wellness, dignity, and peace of every member of our community.

These Terms of Service ("Terms") govern your access to and use of the Woosah Service. Read these Terms fully and carefully before creating an account or using the Service.

By downloading, accessing, or using Woosah, you confirm that you have read, understood, and agreed to these Terms. If you disagree with any part of these Terms, discontinue use of the Service immediately.

These Terms form a legally binding agreement between you and Woosah App, LLC.

 

1. ELIGIBILITY

1.1 Age Requirement

You must be at least 13 years of age to create a Woosah account. Users between the ages of 13 and 17 require verifiable parental or guardian consent before creating an account or making any purchase through the Service.

1.2 Legal Capacity

By agreeing to these Terms, you represent that you hold full legal capacity to enter into a binding agreement. If you create an account on behalf of an organization or business, you represent that you hold authority to bind that organization to these Terms.

1.3 Geographic Availability

Woosah currently provides the Service to users in the United States. We make no representation that the Service operates appropriately or legally in other jurisdictions. Users who access the Service from outside the United States do so at their own risk and remain responsible for compliance with local laws.

 

2. ACCOUNTS

2.1 Account Creation

You create a Woosah account by providing your name, email address, and a password. You may also create an account through supported third-party authentication services such as Sign in with Apple or Google Sign-In, where available.

2.2 Account Accuracy

You agree to provide accurate, current, and complete information when creating your account and to update your information promptly if it changes. Woosah may suspend or terminate accounts that contain materially false or misleading information.

2.3 Account Security

You bear full responsibility for maintaining the confidentiality of your account credentials. You agree to notify Woosah immediately at support@woosah.app if you become aware of any unauthorized access to your account. Woosah carries no liability for losses resulting from unauthorized account access that results from your failure to protect your credentials.

2.4 One Account Per Person

Each individual may maintain one active Woosah account. Creating multiple accounts to circumvent subscription requirements, exploit trial periods, or manipulate the Service in any way violates these Terms.

2.5 Family Plan Accounts

A Family Plan subscription holder ("Plan Owner") may invite up to 4 additional family members to access Woosah under a single Family Plan subscription. The Plan Owner accepts responsibility for all activity on family member sub-accounts. All family members must comply with these Terms. The Plan Owner controls the addition and removal of family members through account settings.

 

3. SUBSCRIPTIONS AND PAYMENTS

3.1 Subscription Plans

Woosah offers the following subscription plans:

Monthly Plan $9.99 per month. Full access to the complete Woosah content library. Renews automatically every 30 days until you cancel.

Annual Plan $59.99 per year. Full access to the complete Woosah content library. Renews automatically every 12 months until you cancel.

Family Plan $89.99 per year. Full access for up to 5 accounts under one subscription. Renews automatically every 12 months until you cancel.

Woosah reserves the right to modify subscription pricing at any time. We will provide at least 30 days advance notice of any price change via email and a prominent notice inside the app. Your continued use of the Service after a price change takes effect constitutes your acceptance of the new pricing.

3.2 Free Trial

Woosah offers a 7-day free trial for new subscribers. Your free trial begins on the date you create your account and select a subscription plan. Your payment method charges automatically at the end of the trial period unless you cancel before the trial ends.

Each individual qualifies for one free trial. Creating multiple accounts to access additional free trials violates these Terms.

3.3 Payment Processing

Woosah processes payments through the following platforms depending on where you subscribe:
    • Apple App Store - for subscriptions purchased on iOS devices
    • Google Play Store - for subscriptions purchased on Android devices
    • Stripe - for subscriptions purchased directly through woosah.app

Your payment relationship for app store purchases runs directly with Apple or Google under their respective terms and conditions. Woosah has no access to your payment card details for app store purchases.

3.4 Automatic Renewal

All Woosah subscriptions renew automatically at the end of each billing period at the then-current subscription price. You authorize Woosah, Apple, or Google (as applicable) to charge your payment method on file for each renewal period.

To prevent renewal, cancel your subscription at least 24 hours before the end of your current billing period.

3.5 Cancellation

You may cancel your Woosah subscription at any time through:
    • Your iOS device: Settings > Apple ID > Subscriptions > Woosah
    • Your Android device: Google Play Store > Account > Subscriptions > Woosah
    • Web subscribers: your account settings at woosah.app or by emailing support@woosah.app

Cancellation takes effect at the end of your current paid billing period. You retain full access to Woosah through the last day of the period you paid for. Woosah does not issue partial-period refunds upon cancellation.

3.6 Refund Policy

All subscription fees are non-refundable except as required by applicable law or as described below:

App Store purchases: Apple and Google manage refund requests for purchases made through their platforms under their own refund policies. Submit refund requests directly through the App Store or Google Play.

Web purchases: Woosah considers refund requests for web purchases made directly through Stripe on a case-by-case basis. Submit web purchase refund requests to support@woosah.app within 7 days of the charge. We review all requests and respond within 5 business days.

Technical failure: If a technical failure on Woosah's part prevents you from accessing the Service for more than 72 consecutive hours during a paid subscription period, contact support@woosah.app and we will credit your account or issue a prorated refund for the affected period.

3.7 Taxes

Subscription prices may exclude applicable taxes. Woosah or the applicable app store platform will collect taxes where required by law and add them to your subscription charge.

 

4. CONTENT AND INTELLECTUAL PROPERTY

4.1 Woosah Content

All content available through the Woosah Service - including guided meditations, soundscapes, affirmations, ambient music, text, graphics, logos, user interface elements, and all other materials (collectively, "Woosah Content") - remains the exclusive intellectual property of Woosah LLC or its licensed content creators.

Woosah grants you a limited, non-exclusive, non-transferable, revocable license to access and use Woosah Content for your personal, non-commercial use while your subscription remains active. This license does not transfer any ownership interest in Woosah Content to you.

4.2 Restrictions

You agree that you will not:
    • Copy, download, reproduce, distribute, or transmit any Woosah Content outside the Service
    • Record, screen-capture, or extract any audio, video, or text from the Service
    • Modify, adapt, translate, or create derivative works from any Woosah Content
    • Use any Woosah Content for commercial purposes
    • Remove or alter any copyright, trademark, or proprietary rights notices
    • Reverse engineer, decompile, or disassemble any part of the Woosah app or Service
    • Use automated tools, bots, scrapers, or crawlers to access or collect data from the Service
    • Share your account credentials with individuals outside your authorized Family Plan

4.3 Woosah Trademarks

The Woosah name, logo, and tagline "Peace, curated for us" are trademarks of Woosah App, LLC. Nothing in these Terms grants you any right to use Woosah trademarks without prior written permission from Woosah.

4.4 User Submissions

If you submit feedback, suggestions, ideas, or other communications to Woosah ("Feedback"), you grant Woosah a perpetual, irrevocable, royalty-free, worldwide license to use, reproduce, modify, and incorporate that Feedback into the Service without compensation or attribution to you. You waive any moral rights in Feedback you submit.

4.5 Content Creator Agreements

Woosah licenses content from Black therapists, mindfulness teachers, somatic practitioners, musicians, writers, and narrators under separate content creator agreements. Those agreements govern Woosah's relationship with its content creators and do not create any direct relationship between content creators and Woosah subscribers.

 

5. AFFILIATE PROGRAM

5.1 Affiliate Participation

Woosah operates a paid affiliate program through Rewardful that allows approved creators to earn commissions by referring new subscribers to the Service. Affiliate participation requires a separate application and approval by Woosah.

5.2 Affiliate Terms

Affiliates who participate in the Woosah affiliate program agree to additional terms set forth in the Woosah Affiliate Agreement, provided upon approval. In the event of any conflict between these Terms and the Woosah Affiliate Agreement, the Affiliate Agreement governs with respect to affiliate program matters.

5.3 FTC Disclosure Requirement

All affiliate partners must disclose their affiliate relationship with Woosah in any content that includes an affiliate link, consistent with Federal Trade Commission (FTC) guidelines. Acceptable disclosures include #ad, #sponsored, #woosahpartner, or a clear written statement of the affiliate relationship. Woosah may terminate affiliate partnerships that fail to comply with FTC disclosure requirements.

5.4 Commission Payment

Woosah pays affiliate commissions on qualifying subscription purchases as defined in the Woosah Affiliate Agreement. Woosah reserves the right to withhold or reverse commissions generated through fraudulent activity, policy violations, or self-referrals.

 

6. PROHIBITED CONDUCT

You agree to use the Woosah Service only for lawful purposes and in accordance with these Terms. You agree that you will not use the Service to:
    • Violate any applicable federal, state, local, or international law or regulation
    • Harass, threaten, intimidate, or harm any other person
    • Impersonate Woosah, a Woosah employee, or any other person or entity
    • Upload or transmit viruses, malware, or any other malicious code
    • Attempt to gain unauthorized access to any part of the Service, its servers, or any connected systems
    • Interfere with or disrupt the integrity or performance of the Service
    • Use the Service in any manner that could disable, overburden, or impair the Service
    • Collect or harvest personal information about other users without their consent
    • Use the Service for any commercial purpose without Woosah's express written permission
    • Circumvent, disable, or interfere with any security features of the Service

Woosah reserves the right to investigate suspected violations of these Terms and to take appropriate action, including account suspension or termination, without prior notice.

 

7. DISCLAIMERS

7.1 Wellness Disclaimer

Woosah provides wellness content for informational and personal development purposes only. Woosah Content does not constitute medical advice, mental health treatment, therapy, diagnosis, or any form of clinical care.

The guided meditations, soundscapes, affirmations, and ambient music available through the Service support general wellness and mindfulness practice. They do not replace professional medical or mental health treatment.

If you experience a mental health crisis, contact the 988 Suicide and Crisis Lifeline by calling or texting 988. If you face a medical emergency, call 911 immediately.

Consult a licensed healthcare professional before beginning any new wellness practice if you have a diagnosed medical or mental health condition.

7.2 Service Availability

Woosah provides the Service on an "as is" and "as available" basis. We do not guarantee that the Service will remain uninterrupted, error-free, or available at all times. We may modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice to subscribers.

7.3 Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WOOSAH DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WOOSAH MAKES NO WARRANTY THAT THE SERVICE WILL MEET YOUR SPECIFIC REQUIREMENTS OR THAT ANY DEFECTS IN THE SERVICE WILL BE CORRECTED.

8. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WOOSAH LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF PROFITS, OR PERSONAL INJURY, EVEN IF WOOSAH HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

WOOSAH'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO WOOSAH IN THE 12 MONTHS IMMEDIATELY PRECEDING THE CLAIM.

9. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Woosah LLC and its officers, directors, employees, contractors, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:
    • Your use of or access to the Service
    • Your violation of these Terms
    • Your violation of any third-party rights, including intellectual property rights or privacy rights
    • Any content or information you submit to Woosah

 

10. GOVERNING LAW AND DISPUTE RESOLUTION

10.1 Governing Law

These Terms govern under the laws of the State of Georgia, without regard to its conflict of law provisions.

10.2 Informal Resolution

Before initiating any formal legal proceeding, you agree to contact Woosah at legal@woosah.app and provide a written description of the dispute. Both parties agree to attempt to resolve the dispute informally for a period of 30 days from the date of written notice.

10.3 Arbitration Agreement

If informal resolution fails, all disputes arising from or relating to these Terms or the Service shall resolve through binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court. The arbitration takes place in Atlanta, Georgia. The arbitrator's decision is final and binding and may be entered as a judgment in any court of competent jurisdiction.

CLASS ACTION WAIVER: YOU AND WOOSAH AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

Note to attorney: Review arbitration clause and class action waiver for enforceability in your jurisdiction and under current consumer protection law. Some states limit mandatory arbitration clauses in consumer agreements.

10.4 Exception for Injunctive Relief

Nothing in this Section prevents either party from seeking injunctive or other equitable relief in any court of competent jurisdiction to protect intellectual property rights or confidential information.

10.5 Limitation Period

Any claim arising from or related to these Terms must be filed within one year after the claim arose. Claims filed after this period are permanently barred.

 

11. TERMINATION

11.1 Termination by You

You may terminate your Woosah account at any time by canceling your subscription and submitting an account deletion request through your account settings or by emailing support@woosah.app.

11.2 Termination by Woosah

Woosah reserves the right to suspend or terminate your account at any time, with or without notice, for:
    • Violation of these Terms
    • Conduct that Woosah determines harmful to the Service, our community, or our business
    • Fraudulent activity or abuse of the Service
    • Failure to pay applicable subscription fees
    • Extended account inactivity at Woosah's discretion

11.3 Effect of Termination

Upon termination, your license to access Woosah Content ends immediately. You lose access to the Service and all content within it. Woosah has no obligation to retain your account data after termination, subject to the data retention terms in our Privacy Policy.

Sections 4, 6, 7, 8, 9, 10, and 13 of these Terms survive termination and remain in full force after your account closes.

 

12. MODIFICATIONS TO THESE TERMS

Woosah may modify these Terms at any time. When we make material changes, we will:
    • Post the updated Terms at woosah.app/terms with a new "Last Updated" date
    • Send you an email notification at the address on your account at least 14 days before the changes take effect
    • Display a prominent notice inside the app

Your continued use of the Service after the effective date of modified Terms constitutes your acceptance of the updated Terms. If you disagree with the updated Terms, you may cancel your subscription and delete your account before the effective date.

 

13. GENERAL PROVISIONS

13.1 Entire Agreement

These Terms, together with our Privacy Policy and any additional agreements you enter with Woosah (such as the Affiliate Agreement), constitute the entire agreement between you and Woosah regarding the Service and supersede all prior agreements and understandings.

13.2 Severability

If any provision of these Terms is found invalid or unenforceable by a court of competent jurisdiction, that provision will be modified to the minimum extent necessary to make it enforceable. All remaining provisions continue in full force and effect.

13.3 Waiver

Woosah's failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision. Any waiver of a provision requires a written statement signed by an authorized Woosah representative.

13.4 Assignment

You may not assign or transfer your rights under these Terms without Woosah's prior written consent. Woosah may assign these Terms or any of its rights and obligations under these Terms without restriction.

13.5 No Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights. Only you and Woosah hold rights under this agreement.

13.6 Force Majeure

Woosah shall not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including natural disasters, pandemics, acts of government, internet outages, or third-party service failures.

13.7 Headings

Section headings in these Terms serve organizational purposes only and carry no legal weight in interpreting these Terms.
